1. Acceptance & Eligibility
By creating an account or using Eidice, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service. You must be a licensed real estate professional (or authorized team member of a licensee) to use Eidice.
California-only at public launch. Eidice is available at public launch only to licensed California real estate professionals. Account signup and paid checkout are gated to California and require a verified email address and acceptance of these Terms; neither step collects or requires a DRE license number. A valid California Department of Real Estate (DRE) license number is verified later when needed for MLS/CRMLS access and for required outbound real-estate disclosures. By creating an account you represent that you are a licensed California real estate professional (or an authorized team member of one). Expansion to additional states (Texas, Florida, Arizona) is targeted for a Phase 2 release after Eidice completes its SOC 2 Type 1 audit. Use of the Service from outside California, or by individuals not licensed in California, is not authorized at this time.
2. Service Description
Eidice is an AI-powered CRM platform for real estate professionals. The Service uses artificial intelligence to assist with lead management, message drafting, communication automation, market intelligence, and post-close relationship maintenance. Eidice is a productivity tool — it does not provide real estate, legal, or financial advice.
3. Subscription Plans & Pricing
Eidice offers tiered subscription plans (Free, Essentials, Plus, Eidice AI) with monthly and annual billing options. Plan features and prices are listed on the pricing page and inside the app under Settings → Billing. Subscriptions auto-renew until you cancel. Monthly plans renew every month on the date you subscribed; annual plans renew every 12 months. We email you a reminder 15 to 45 days before an annual plan renews. Per the California Automatic Renewal Law (Bus. & Prof. Code §17600-17606), we disclose the renewal terms before you pay and let you cancel at any time inside the app, in the same place you subscribed. We will email you before any price change takes effect, and you can cancel before it applies.
4. Refunds & Cancellation
Paid plans bill upfront. No money-back guarantee — monthly cancel anytime, no contract. Paid plans are charged at checkout: you enter a card and are charged immediately, and the plan renews on its own each period until you cancel. Free tier is the only no-card path. There is no money-back guarantee. Monthly subscription charges are non-refundable, including for partial billing periods, except where a refund is required by applicable law. When you cancel a monthly plan, your access continues through the end of the current billing period and the subscription does not renew after that.
How to cancel. Cancel at any time via Settings → Billing → Cancel Subscription. Cancellation takes effect at the end of the current billing period (for annual plans, at the end of the prepaid 12-month term). You retain full access until the period ends. No cancellation fees. You can cancel online, by yourself, in the same place you subscribed. Per the California Automatic Renewal Law (Bus. & Prof. Code §17600-17606), cancelling takes no more steps than signing up did, and never requires a phone call, an email, or a conversation with anyone.
Annual plans are non-refundable. An annual plan is a 12-month commitment billed upfront in a single charge and includes two months free versus monthly billing. Annual subscription fees are non-refundable in whole or in part, including for any unused portion of the term, except where a refund is required by applicable law. Cancelling an annual plan turns off auto-renewal — your access continues through the end of the prepaid 12-month term, and the plan does not renew after that. There is no partial refund for cancelling an annual plan before the end of its term. No separate signed contract is required — your acceptance of these Terms at annual checkout, together with the upfront charge, constitutes your binding 12-month commitment.
White-glove onboarding is included with Eidice AI — a dedicated account-management team that helps set up your account and supports you during your subscription, at no additional charge. Other setup fees and one-time charges (such as custom number-pool setup or any priced one-time service) are non-refundable once the corresponding work has begun.
Billing error exception. We will investigate and correct any billing errors, duplicate charges, or unauthorized charges. Contact support@eidice.com promptly if you believe a charge was made in error.
Chargeback ban. Initiating a payment-card chargeback against Eidice in lieu of using the in-app cancellation process is a material breach of these Terms. A chargeback will result in immediate termination of your account, and we may pursue collection of any unpaid or charged-back balance (including the full non-refundable annual amount) under Stripe's terms and applicable law. A chargeback also results in a permanent ban from re-signup and forfeiture of any forever-locked grandfathering. Because annual plans are a non-refundable 12-month commitment that you expressly acknowledge at checkout, a chargeback on an annual charge is a breach of that commitment, not a refund mechanism. If you believe a charge is wrong, email support@eidice.com first — we can correct a billing error directly, and faster than a card dispute can. Nothing in this section limits any right you have under your card issuer's dispute process.
Refund-abuse via shared credentials. Refunds will not be issued for accounts where credentials were shared with non-account-owners or where the account was used in a manner inconsistent with single-agent identity (see Section 7 — Account Identity Lock). Repeated refund requests across linked accounts are flagged and may be denied.
Addon refund mechanics. A main-subscription refund auto-refunds any AI Ad Engine addon paid in the same billing cycle. Standalone addon refund (without cancelling the main subscription) is allowed within 7 days of addon purchase only.

5. Deferred Plans
Future or deferred plan concepts are not publicly offered, are not available for purchase, and do not create any purchase commitment, contract, priority claim, rate lock, or authorization to charge a payment method. Only plans shown on the current pricing page and inside Settings → Billing are available.
6. AI-Generated Content — Your Responsibility
ALL content generated by Eidice's AI — including text messages, emails, call prep notes, morning briefings, lifecycle touchpoint messages, referral asks, listing emails, ghost lead re-engagement messages, and proactive trigger drafts — is a DRAFT SUGGESTION. AI-generated content is not reviewed by Eidice staff and may contain errors or inaccuracies. YOU ARE SOLELY RESPONSIBLE for the content sent from your account — both messages you review individually and automated messaging you enable in advance. For individually sent content — messages you generate one at a time, messages you batch-approve through the Autopilot Queue, and lifecycle touchpoints drafted outside the Autonomous Strategic Agent — you review, edit and approve each message before it goes out. The Autonomous Strategic Agent works the same way: once you switch it on, the proactive triggers, referral asks and lifecycle milestones it detects are drafted for you to review and send, as described under Proactive Triggers below. For automated sending features (auto-fire sequences, scheduled sends, and automated replies), you review and approve the message templates, messaging scope, and settings in advance, when you enable the feature. By activating any automated sending feature (auto-fire sequences, batch approve, scheduled sends, automated replies), you authorize Eidice in advance to send messages on your behalf within the scope you enabled, and you adopt as your own the message templates and settings you reviewed when enabling it. Some automated replies are generated by AI within the settings and guardrails you enabled rather than drawn from a template you reviewed; these messages are likewise sent on your behalf under your advance authorization, and you remain responsible for them. You remain the sender of record for every message delivered through your account, and you may deactivate any automated sending feature at any time. Eidice delivers messages on your behalf — not on its own behalf. AI-generated content is your content for liability purposes once you approve it for delivery or it is sent under an automation you enabled.
7. Account Identity Lock
A Eidice account is tied to a single licensed real estate professional. Sharing your account credentials with another person, allowing concurrent sessions from another individual, or using a single Eidice seat to operate on behalf of multiple licensed agents is a material breach of these Terms. Account access is non-transferable. Sharing credentials is grounds for termination and invalidates Eidice's compliance defenses for messages sent through the affected account. To enforce single-agent identity, paid accounts are offered two-factor authentication (2FA) and are subject to a concurrent-session lock that ends earlier sessions when a new sign-in is detected. We may require two-factor authentication on paid accounts on notice. Teams seats are also bound to this rule (Teams admin-invited seats are each their own single-agent seat). Violations of the Account Identity Lock may result in account suspension, forfeiture of grandfathered rate-locks, and termination without refund.
8. AI-Inferred Data Accuracy
Eidice generates AI-inferred data about your leads including emotional state classifications, communication pattern analysis, life event detection, conversion probability scores, and behavioral personas. This data is PROBABILISTIC AND MAY BE INACCURATE. It is provided as analytical context — not verified fact. Do not rely solely on AI-inferred data for important decisions about client relationships.
9. Automated Messaging & Sleep-Window Guardrail
Auto-Fire Sequences: When activated, auto-fire sequences automatically deliver approved messages on a schedule. A maximum of 50 messages per session is enforced as a safety limit.
Batch Approve: "Send All" and "Next 5" deliver AI-generated drafts via SMS / email. A confirmation modal is shown before sending.
Scheduled Sends: Messages scheduled for future delivery are processed server-side even if you don't have Eidice open.
Proactive Triggers & Lifecycle Touchpoints: The Autonomous Strategic Agent is off until you turn it on. Once on, it scans your pipeline for opportunities — a hot lead going cold, a referral worth asking for, a lifecycle milestone, an important date — and writes a message for each one it finds. Every one of those messages is a draft: it waits in your review queue for you to read and tap send — the Agent never sends on its own. Every draft clears the same safety checks as every other message your account sends. Three limits are yours to set — the sending window, the daily cap, and which opportunity types the Agent may draft for — and one is fixed: a 14-day per-lead cooldown, which the Agent checks before it will draft to the same lead again. You can switch proactive drafting off at any time in Settings.
Sleep-window guardrail. Eidice does NOT auto-send during your configured sleep window. The default window is 10 PM to 7 AM in your agent timezone, and is per-agent configurable in Settings → Profile. Auto-fire sequences, scheduled sends, speed-to-lead replies, and Zero Work Mode auto-replies all queue (rather than fire) during the sleep window and resume at the next allowed send time. Manual sends you initiate from inside the app are exempt and send immediately.
You may disable all automated sending at any time through Settings.
10. TCPA & CAN-SPAM Compliance Commitments
Eidice is built to support agent compliance with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and California-specific messaging laws. The Service includes the following commitments:
- 10DLC registration required. Agents using Eidice's SMS features must register with the 10DLC carrier ecosystem (or use a managed Twilio subaccount we provide). Sending bulk consumer SMS without 10DLC registration is not permitted.
- Opt-out honored within 24 hours. Inbound STOP, UNSUBSCRIBE, and similar opt-out requests are processed and the sending number is blocked from further outbound messages within 24 hours of receipt.
- Sending-window control. You may configure a window during which Eidice will not fire automated sends from your account, as described in Section 9. This is your own scheduling preference, not a recipient protection: Eidice does not enforce the recipient's local 8 a.m. to 9 p.m. calling hours on your behalf. Federal and state calling-hour rules still apply to you, and you are solely responsible for observing them.
- No National Do Not Call Registry screening. Eidice does not screen your recipients against the National Do Not Call Registry or against any state Do Not Call list, and does not provide registry scrubbing as a feature. Federal and state Do Not Call rules still apply to you. You are solely responsible for determining whether you may lawfully contact a given number, including any registry scrubbing your outreach requires. Opt-out (STOP/UNSUBSCRIBE) handling, suppression, consent records and sending-window limits described elsewhere in this section are unaffected and continue to run.
- Opener variance. AI-drafted message openers are required to vary across recent sends from the same agent so that recipients do not receive identical first-line phrasing across separate messages within a 30-day window.
- CAN-SPAM unsubscribe. Eidice adds a working unsubscribe link to every commercial email sent through the Service, and adds your business postal address when your profile records one. CAN-SPAM requires the sender's valid physical postal address on every commercial message, so keep yours current in Settings. Unsubscribe requests are honored within 10 business days; in practice they take effect immediately.
- TCPA consent records retention. Each permission to text a lead that you record by hand, that the lead gives by replying to a text, or that is given on a texting opt-in page (the phone number, when and how permission was given, and the evidence, including the opt-in language for written permission), and each opt-out Eidice records (a STOP reply, an unsubscribe, or a request to stop), are retained for at least 7 years, even after the lead or your account is deleted (see Privacy Policy Section 15).
- You are the sender of your marketing email. For email you send to your own contacts through Eidice, you are the "sender" under the CAN-SPAM Act. Where a message is an advertisement and your recipient has not given you prior affirmative consent to receive advertising, CAN-SPAM also requires the message to identify itself as an advertisement; you are responsible for that identification and for the consent status of your recipients.
Product news from Oliver Labs. By creating an Eidice account you agree that Oliver Labs LLC may send you product news and updates about Eidice at the email address on your account. You may withdraw that agreement at any time through the unsubscribe link in any product-news email; service and account messages continue while your account is open.
You are responsible for obtaining proper consent before sending text messages, for verifying that your sending complies with applicable state laws, and for maintaining your own consent records in addition to those Eidice retains on your behalf.
Lead consent attestation — bulk send and CSV import. Each time you initiate a bulk send, a CSV import, or any operation that adds recipients to a sending queue at scale, you attest that the recipients have consented to receive messages from you under the TCPA, the CAN-SPAM Act, and applicable state laws. You assume all liability for the consent status of recipients added through bulk send and CSV import, including but not limited to claims arising from messages sent to recipients who had not actually granted consent. Eidice retains a record of each bulk-send and import attestation, including timestamp and the count of recipients in the operation, for at least 7 years.
False attestation. Providing a false or inaccurate attestation — including attesting to recipient consent you do not actually hold — is grounds for immediate account termination without refund. By submitting the attestation, you accept sole liability for any TCPA, CAN-SPAM, or state-law claims arising from messages sent to those recipients, and you agree that Eidice may rely on your attestation as a complete defense to any such claim made against Eidice.
11. Fair Housing Compliance
As a licensed real estate professional, you are legally obligated to comply with the Fair Housing Act (42 U.S.C. §§ 3601-3619), applicable state fair housing laws, and all anti-discrimination regulations. These obligations apply to ALL communications sent through Eidice.
California's Fair Employment and Housing Act (Gov. Code §12955) protects more characteristics than federal law does — including marital status, source of income, sexual orientation, gender identity, ancestry, genetic information, primary language, immigration status, and military or veteran status — and those protections apply to everything you send through Eidice.
Eidice incorporates Fair Housing guardrails into AI-generated content but these are not perfect and do not guarantee compliance. You must independently verify compliance. Eidice's Fair Housing checks run on every message your account sends, including ones you type yourself. A message that trips the strongest checks is held back or refused rather than delivered, and you are told why. A milder warning on a message you write and send yourself does not hold it — that message still goes out.
When you advertise housing on an outside platform, you choose the audience on that platform. Eidice will not suggest targeting by a protected characteristic or by a proxy for one, and you must not select one yourself.
Life event detection is informational context ONLY. You must NEVER use detected life events to discriminate in housing recommendations or any housing-related decision based on protected characteristics.
Your California real estate license carries its own advertising duties, which are set out in Section 20 below.
12. Referral Features
Eidice's referral engine helps you identify optimal timing for asking past clients for referrals and generates draft referral ask messages. These are agent-to-client communications only.
Eidice does NOT facilitate, calculate, manage, or process referral fees between real estate agents or brokerages. Some states regulate referral fee arrangements between licensees. You are responsible for compliance with your state's referral fee regulations independently of Eidice.
13. Data Ownership & Portability
You retain ownership of all data you input into Eidice. You may export your data at any time via Settings → Data using either the Contacts (CSV) download (spreadsheet-friendly files) or the Data export (JSON) download (a single file read from our servers covering your profile, leads, messages, call records, sequences, saved posts, listings you entered, memories you entered or confirmed, settings, email-scanning items, held inbound mail, consent and opt-out records, and usage history). Some system, security and unconfirmed AI-generated records and fields are left out; the file lists exactly what it contains, and the app tells you when a copy is incomplete. For anything the file does not contain, email us at the address in the Privacy Policy and we will send it to you within 45 days. Cancelling does not delete your data — you can export it at any time from Settings → Data. AI-generated intelligence (relationship memories, client personas, emotional arc, communication DNA, win patterns, conversion probability, referral readiness) is service-generated content under CCPA's service-data carve-out and is not included in your portable export.
CCPA deletion request flow. California residents may request deletion of personal information held by Eidice under the California Consumer Privacy Act (CCPA). To submit a deletion request, open Settings → Data → Delete My Data inside the app, confirm the request, and follow the in-app instructions. Deletion requests receive a response within forty-five (45) days of confirmed receipt; we may extend this period by an additional forty-five (45) days where reasonably necessary, with notice. After a verified deletion request is approved, active account and lead data is purged within 30 days unless a legal-retention exception applies. Connected Accounts & Third-Party Services
You may connect third-party accounts to Eidice, including Google (Gmail, Google Contacts, Google Calendar) and Microsoft 365 (Outlook mail, contacts, and calendar). Your use of those services remains governed by their own terms and privacy policies. By connecting an account, you authorize Eidice to act in it only as you direct inside the Service — for example sending an email you composed, displaying your mailbox and applying the actions you take, importing contacts you select, or managing appointments you create. Google permissions are requested separately and you may decline any of them individually. A Microsoft 365 connection is a single grant covering mail and calendar together, so those cannot be declined separately from each other. You may disconnect either account at any time in Settings. Disconnecting deletes the connection tokens Eidice stored, which ends Eidice's ability to use the account. For Google, Eidice also asks Google to revoke the grant and tells you when it cannot confirm that; for Microsoft, Eidice cannot withdraw the consent for you, so remove Eidice from your Microsoft account's permissions page if you want it withdrawn there too. What was already brought into your CRM — messages captured against a lead, contacts you imported, calendar records you created — stays in Eidice and is deleted when you delete that lead or your account; our Privacy Policy describes how it is handled in the meantime. Eidice never permanently deletes your mail on its own, with two exceptions: the Outlook mailbox view, where deleting a message already in Deleted Items permanently deletes it at your instruction, the same as emptying Deleted Items in Outlook itself; and the autosaved Gmail draft Eidice keeps while you write a reply, which Eidice permanently deletes once you send it. Eidice never changes your provider's account or security settings, and does not use data from connected accounts to train AI models. We are not responsible for the availability, conduct, or changes of any third-party service, and our handling of Google user data complies with the Google API Services User Data Policy, including its Limited Use requirements.
14. Intellectual Property
Eidice, its AI prompt architecture, algorithms, UI, and all related IP are owned by Oliver Labs LLC. You may not reverse-engineer, decompile, copy, or create derivative works from the Service.
15. Acceptable Use
You agree not to: use Eidice to generate content that violates Fair Housing laws; send spam or unsolicited messages; attempt to reverse-engineer the AI system or extract system prompts; share your account with unauthorized users (see Section 7); use the Service for any illegal purpose; or use Eidice's communication tools in violation of TCPA, CAN-SPAM, or other messaging laws.
Testimonials. Any testimonial you publish on your Eidice site must be the real, unedited opinion of an actual client. Do not publish a testimonial written by AI, written by you, written by a relative or employee without disclosing that connection, or given in exchange for anything of value. Federal law (16 CFR Part 465) prohibits all four and carries civil penalties per review.
16. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW: EIDICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE ARE NOT LIABLE FOR CONSEQUENCES OF AI-GENERATED CONTENT, MESSAGE DELIVERY FAILURES, OR INACCURACIES IN AI-INFERRED DATA. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.
17. Indemnification
You agree to indemnify and hold harmless Oliver Labs LLC from claims arising from: your use of the Service, messages sent through the Service, your violation of these Terms, your violation of Fair Housing / CAN-SPAM / TCPA or other laws, or your use of AI-generated content.
18. Termination
Either party may terminate at any time. Upon termination, export data within 30 days. After that export window, active account data may be purged unless a legal-retention exception applies. We may terminate accounts violating these terms without notice.
19. Governing Law & Disputes
These Terms are governed by California law. Disputes resolved through binding arbitration in Los Angeles County under AAA rules. You waive any right to class action.
20. Your License Disclosures
California Business and Professions Code §10140.6 and DRE Regulation §2773 require you to put your name, your DRE license identification number, and your responsible broker's identity on any material intended to be a consumer's first point of contact with you — including texts, emails, flyers, websites, social posts, and open-house sign-in sheets.
Eidice adds this identification automatically to marketing email, to your public agent pages, and to social posts, and refuses to send or publish those when the information is missing from your profile. You are responsible for keeping your name, license number, brokerage, license state, and license expiry current in Settings, and for confirming that every message you send carries the disclosures your license requires. The disclosure is required on the first written solicitation only; it does not need to repeat on every message in an ongoing conversation.
If you advertise under a team name or a fictitious business name, §10159.5 and §10159.7 set additional rules about what that name may be and how prominently your responsible broker must appear alongside it. Meeting them is your responsibility. Eidice does not evaluate whether a team name contains a licensed member's surname or whether your broker is displayed as prominently as the rules require.
You must not publish a false or misleading statement about your services, terms, or rates (Bus. & Prof. Code §10140 and §10235). AI-generated marketing copy published under your name is your statement.
21. Your Leads' Data, and Our Role
The information you put into Eidice about your leads and clients is yours. You decide what to collect and why; we process it only to run the Service for you, and only on your instructions.
We will not sell that information, will not share it for cross-context behavioral advertising, will not use it for advertising, will not use it to build or train an AI model, and will not combine it with any other customer's data or with information we get from anywhere else, except as needed to run and secure the Service.
We use the vendors listed in Section 13 of the Privacy Policy, and we require each of them to use that information only to provide its service to us.
If a consumer exercises a California privacy right against you, we will help you answer within your deadline — write to us at the address in the Privacy Policy. When you delete a lead, or your account, we delete your profile, leads, messages, sequences, listings, sites, and documents, along with the AI intelligence we built from them, from our systems (except the texting-permission and opt-out records Section 10 says we keep for at least 7 years), and we are extending that same deletion to the rest of our internal records that are not yet covered.
We understand these restrictions and agree to comply with them.
Some of your public pages and forms on Eidice, such as the open-house sign-in, tell the people who use them that their information will not be sold. Starting October 15, 2026, you agree to keep that promise: you will not sell the personal information you collect through your public pages and forms on Eidice, or share it for cross-context behavioral advertising, as California Civil Code §1798.140 defines "sell" and "share", whether or not that law otherwise applies to you. A disclosure the person asks you to make, such as a referral to another agent they requested, is neither. This promise continues after your account ends.
22. Changes & Contact
We may modify these Terms. When we make a material change we move the version on these Terms and ask you to review and accept the new version the next time you open Eidice; the updated Terms take effect when you accept them, and you will need to accept before continuing to use the Service.
