Zaxin is an AI-powered CRM for licensed real estate professionals. Agents use Zaxin to send text message communications (lead follow-ups, appointment confirmations, property updates, and related real estate communications) to their own contacts and leads. Every message is sent by a licensed agent or on that agent's behalf: agents either compose and send messages directly, or approve message templates and enable automated follow-up messaging in advance, and automated messages are sent only within that agent-approved scope. Reply STOP to opt out and HELP for help — both are honored on every message.

Opt-In Method
Recipients opt in through a direct business relationship with the sending agent — for example, by submitting their contact information through the agent's lead-capture or open-house sign-in form, or by requesting real estate information from the agent. Agents are responsible for obtaining proper consent under the Telephone Consumer Protection Act (TCPA) before any SMS is sent through Zaxin, including messages sent automatically on their behalf within messaging they have approved and enabled in advance. Zaxin enforces opt-out lists and prevents sending to any number that has replied STOP.

1. Acceptance & Eligibility

By creating an account or using Zaxin, you agree to these Terms of Service and our Privacy Policy. If you do not agree, do not use the Service. You must be a licensed real estate professional (or authorized team member of a licensee) to use Zaxin.

California-only at public launch. Zaxin is available at public launch only to licensed California real estate professionals. Account signup and paid checkout are gated to California and require a verified email address and acceptance of these Terms; neither step collects or requires a DRE license number. A valid California Department of Real Estate (DRE) license number is verified later when needed for MLS/CRMLS access and for required outbound real-estate disclosures. By creating an account you represent that you are a licensed California real estate professional (or an authorized team member of one). Expansion to additional states (Texas, Florida, Arizona) is targeted for a Phase 2 release after Zaxin completes its SOC 2 Type 1 audit. Use of the Service from outside California, or by individuals not licensed in California, is not authorized at this time.

2. Service Description

Zaxin is an AI-powered CRM platform for real estate professionals. The Service uses artificial intelligence to assist with lead management, message drafting, communication automation, market intelligence, and post-close relationship maintenance. Zaxin is a productivity tool — it does not provide real estate, legal, or financial advice.

3. Subscription Plans & Pricing

Zaxin offers tiered subscription plans (Free, Founding, Pro, Pro Plus, Elite) with monthly and annual billing options. Plan features and prices are listed on the pricing page and inside the app under Settings → Billing. Subscriptions auto-renew unless cancelled. Per the California Automatic Renewal Law (Bus. & Prof. Code §17600-17606), we clearly disclose renewal terms, provide simple cancellation, and send renewal reminders before each renewal.

4. Refunds & Cancellation

Paid plans bill upfront. No money-back guarantee — monthly cancel anytime, no contract. Paid plans start with an upfront Stripe Checkout charge. Free tier is the only no-card path. There is no free trial and no money-back guarantee. Monthly subscription charges are non-refundable, including for partial billing periods, except where a refund is required by applicable law. When you cancel a monthly plan, your access continues through the end of the current billing period and the subscription does not renew after that.

How to cancel. Cancel at any time via Settings → Billing → Cancel Subscription. Cancellation takes effect at the end of the current billing period (for annual plans, at the end of the prepaid 12-month term). You retain full access until the period ends. No cancellation fees. Per the California Automatic Renewal Law (Bus. & Prof. Code §17600-17606) and the FTC click-to-cancel rule, cancellation requires the same number of steps as enrollment.

Annual plans are non-refundable. An annual plan is a 12-month commitment billed upfront in a single charge and includes two months free versus monthly billing. Annual subscription fees are non-refundable in whole or in part, including for any unused portion of the term, except where a refund is required by applicable law. Cancelling an annual plan turns off auto-renewal — your access continues through the end of the prepaid 12-month term, and the plan does not renew after that. There is no partial refund for cancelling an annual plan before the end of its term. No separate signed contract is required — your acceptance of these Terms at annual checkout, together with the upfront charge, constitutes your binding 12-month commitment.

Setup fees and one-time charges are non-refundable once the corresponding work has begun (this includes white-glove onboarding, custom number-pool setup, and any priced one-time service).

Billing error exception. We will investigate and correct any billing errors, duplicate charges, or unauthorized charges. Contact support@zaxin.ai promptly if you believe a charge was made in error.

Chargeback ban. Initiating a payment-card chargeback against Zaxin in lieu of using the in-app cancellation process is a material breach of these Terms. A chargeback will result in immediate termination of your account, and we may pursue collection of any unpaid or charged-back balance (including the full non-refundable annual amount) under Stripe's terms and applicable law. A chargeback also results in a permanent ban from re-signup and forfeiture of any forever-locked grandfathering (including the Founding $199 lifetime rate-lock). Because annual plans are a non-refundable 12-month commitment that you expressly acknowledge at checkout, a chargeback on an annual charge is a breach of that commitment, not a refund mechanism.

Refund-abuse via shared credentials. Refunds will not be issued for accounts where credentials were shared with non-account-owners or where the account was used in a manner inconsistent with single-agent identity (see Section 8 — Account Identity Lock). Repeated refund requests across linked accounts are flagged and may be denied.

Addon refund mechanics. A main-subscription refund auto-refunds any AI Ad Engine addon paid in the same billing cycle. Standalone addon refund (without cancelling the main subscription) is allowed within 7 days of addon purchase only.

5. Founding Cohort — Lifetime Rate-Lock

The first twenty (20) Zaxin customers to subscribe to the Founding tier receive a forever-locked rate of $199 per month, which survives plan upgrades and downgrades for the lifetime of the account. The Founding cohort is limited to twenty single-agent seats — once filled, the Founding tier closes permanently. The Founding rate-lock is forfeited under any of the following circumstances: (a) chargeback initiated against Zaxin (per Section 4), (b) violation of the Account Identity Lock (per Section 8), or (c) any cancellation that breaks continuous-active status. Founding seats are first-come, first-served and are not transferable between individuals. The Founding rate-lock is conditioned on a continuously-active subscription; any cancellation voids the rate-lock and a re-subscription enters at the then-current public Founding (or post-Founding) price, not the original $199 rate.

6. Deferred Plans

Future or deferred plan concepts are not publicly offered, are not available for purchase, and do not create any purchase commitment, contract, priority claim, rate lock, or authorization to charge a payment method. Only plans shown on the current pricing page and inside Settings → Billing are available.

7. AI-Generated Content — Your Responsibility

ALL content generated by Zaxin's AI — including text messages, emails, call prep notes, morning briefings, lifecycle touchpoint messages, referral asks, listing emails, ghost lead re-engagement messages, and proactive trigger drafts — is a DRAFT SUGGESTION. AI-generated content is not reviewed by Zaxin staff and may contain errors or inaccuracies. YOU ARE SOLELY RESPONSIBLE for the content sent from your account — both messages you review individually and automated messaging you enable in advance. For individually sent content (individually generated messages, batch-approved messages via Autopilot Queue "Send All," proactive trigger drafts, lifecycle touchpoint messages, and referral ask messages), you review, edit, and approve each message before it is sent. For automated sending features (auto-fire sequences, scheduled sends, and automated replies), you review and approve the message templates, messaging scope, and settings in advance, when you enable the feature. By activating any automated sending feature (auto-fire sequences, batch approve, scheduled sends, automated replies), you authorize Zaxin in advance to send messages on your behalf within the scope you enabled, and you adopt as your own the message templates and settings you reviewed when enabling it. Some automated replies are generated by AI within the settings and guardrails you enabled rather than drawn from a template you reviewed; these messages are likewise sent on your behalf under your advance authorization, and you remain responsible for them. You remain the sender of record for every message delivered through your account, and you may deactivate any automated sending feature at any time. Zaxin delivers messages on your behalf — not on its own behalf. AI-generated content is your content for liability purposes once you approve it for delivery or it is sent under an automation you enabled.

8. Account Identity Lock

A Zaxin account is tied to a single licensed real estate professional. Sharing your account credentials with another person, allowing concurrent sessions from another individual, or using a single Zaxin seat to operate on behalf of multiple licensed agents is a material breach of these Terms. Account access is non-transferable. Sharing credentials is grounds for termination and invalidates Zaxin's compliance defenses for messages sent through the affected account. To enforce single-agent identity, paid accounts are subject to two-factor authentication (2FA) and a concurrent-session lock that ends earlier sessions when a new sign-in is detected. Founding cohort and Teams seats are also bound to this rule (Teams admin-invited seats are each their own single-agent seat). Violations of the Account Identity Lock may result in account suspension, forfeiture of grandfathered rate-locks, and termination without refund.

9. AI-Inferred Data Accuracy

Zaxin generates AI-inferred data about your leads including emotional state classifications, communication pattern analysis, life event detection, conversion probability scores, and behavioral personas. This data is PROBABILISTIC AND MAY BE INACCURATE. It is provided as analytical context — not verified fact. Do not rely solely on AI-inferred data for important decisions about client relationships.

10. Automated Messaging & Sleep-Window Guardrail

Auto-Fire Sequences: When activated, auto-fire sequences automatically deliver approved messages on a schedule. A maximum of 50 messages per session is enforced as a safety limit.

Batch Approve: "Send All" and "Next 5" deliver AI-generated drafts via SMS / email. A confirmation modal is shown before sending.

Scheduled Sends: Messages scheduled for future delivery are processed server-side even if you don't have Zaxin open.

Proactive Triggers & Lifecycle Touchpoints: Draft messages generated from detected opportunities are NEVER sent automatically — they always require your explicit approval.

Sleep-window guardrail. Zaxin does NOT auto-send during your configured sleep window. The default window is 10 PM to 7 AM in your agent timezone, and is per-agent configurable in Settings → Profile. Auto-fire sequences, scheduled sends, speed-to-lead replies, and Zero Work Mode auto-replies all queue (rather than fire) during the sleep window and resume at the next allowed send time. Manual sends you initiate from inside the app are exempt and send immediately.

You may disable all automated sending at any time through Settings.

11. TCPA & CAN-SPAM Compliance Commitments

Zaxin is built to support agent compliance with the Telephone Consumer Protection Act (TCPA), the CAN-SPAM Act, and California-specific messaging laws. The Service includes the following commitments:

You are responsible for obtaining proper consent before sending text messages, for verifying that your sending complies with applicable state laws, and for maintaining your own consent records in addition to those Zaxin retains on your behalf.

Lead consent attestation — bulk send and CSV import. Each time you initiate a bulk send, a CSV import, or any operation that adds recipients to a sending queue at scale, you attest that the recipients have consented to receive messages from you under the TCPA, the CAN-SPAM Act, and applicable state laws. You assume all liability for the consent status of recipients added through bulk send and CSV import, including but not limited to claims arising from messages sent to recipients who had not actually granted consent. Zaxin retains a record of each bulk-send and import attestation, including timestamp and the count of recipients in the operation, for at least 7 years.

False attestation. Providing a false or inaccurate attestation — including attesting to recipient consent you do not actually hold — is grounds for immediate account termination without refund. By submitting the attestation, you accept sole liability for any TCPA, CAN-SPAM, or state-law claims arising from messages sent to those recipients, and you agree that Zaxin may rely on your attestation as a complete defense to any such claim made against Zaxin.

12. Fair Housing Compliance

As a licensed real estate professional, you are legally obligated to comply with the Fair Housing Act (42 U.S.C. §§ 3601-3619), applicable state fair housing laws, and all anti-discrimination regulations. These obligations apply to ALL communications sent through Zaxin.

Zaxin incorporates Fair Housing guardrails into AI-generated content but these are not perfect and do not guarantee compliance. You must independently verify compliance.

Life event detection is informational context ONLY. You must NEVER use detected life events to discriminate in housing recommendations or any housing-related decision based on protected characteristics.

13. Referral Features

Zaxin's referral engine helps you identify optimal timing for asking past clients for referrals and generates draft referral ask messages. These are agent-to-client communications only.

Zaxin does NOT facilitate, calculate, manage, or process referral fees between real estate agents or brokerages. Some states regulate referral fee arrangements between licensees. You are responsible for compliance with your state's referral fee regulations independently of Zaxin.

14. Data Ownership & Portability

You retain ownership of all data you input into Zaxin. You may export your data at any time via Settings → Data using either "Export Contacts (CSV)" (separate spreadsheet-friendly files) or "Export Everything (JSON)" (single comprehensive download covering profile, leads, listings, sequences, communication history, agent-input memories, settings, and integrations metadata). The comprehensive JSON export also fires automatically when you cancel your subscription. AI-generated intelligence (relationship memories, client personas, emotional arc, communication DNA, win patterns, conversion probability, referral readiness) is service-generated content under CCPA's service-data carve-out and is not included in your portable export.

CCPA deletion request flow. California residents may request deletion of personal information held by Zaxin under the California Consumer Privacy Act (CCPA). To submit a deletion request, open Settings → Data → Delete My Data inside the app, confirm the request, and follow the in-app instructions. Deletion requests receive a response within forty-five (45) days of confirmed receipt; we may extend this period by an additional forty-five (45) days where reasonably necessary, with notice. After a verified deletion request is approved, active account and lead data is purged within 30 days unless a legal-retention exception applies. 15. Intellectual Property

Zaxin, its AI prompt architecture, algorithms, UI, and all related IP are owned by Oliver Labs LLC. You may not reverse-engineer, decompile, copy, or create derivative works from the Service.

16. Acceptable Use

You agree not to: use Zaxin to generate content that violates Fair Housing laws; send spam or unsolicited messages; attempt to reverse-engineer the AI system or extract system prompts; share your account with unauthorized users (see Section 8); use the Service for any illegal purpose; or use Zaxin's communication tools in violation of TCPA, CAN-SPAM, or other messaging laws.

17. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW: ZAXIN IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND. WE ARE NOT LIABLE FOR CONSEQUENCES OF AI-GENERATED CONTENT, MESSAGE DELIVERY FAILURES, OR INACCURACIES IN AI-INFERRED DATA. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT PAID FOR THE SERVICE IN THE 12 MONTHS PRECEDING THE CLAIM.

18. Indemnification

You agree to indemnify and hold harmless Oliver Labs LLC from claims arising from: your use of the Service, messages sent through the Service, your violation of these Terms, your violation of Fair Housing / CAN-SPAM / TCPA or other laws, or your use of AI-generated content.

19. Termination

Either party may terminate at any time. Upon termination, export data within 30 days. After that export window, active account data may be purged unless a legal-retention exception applies. We may terminate accounts violating these terms without notice.

20. Governing Law & Disputes

These Terms are governed by California law. Disputes resolved through binding arbitration in Los Angeles County under AAA rules. You waive any right to class action.

21. Changes & Contact
